These Terms apply to all interactions with TERRA Middle East L.L.C-FZ ("Terra"), including:

By using, registering for, joining or participating in any Terra channel or activity after these Terms or a link to them has been made available, the user agrees to these Terms.

Terra is a business and entrepreneurial community and event organiser. Unless expressly stated otherwise, Terra content and events are provided for general informational, networking and experience-sharing purposes only. Terra does not guarantee any educational, professional, financial, commercial or other result. Participation in Terra does not create any partnership, employment, agency, fiduciary, advisory or other special relationship between Terra and the user.

Information provided by Terra, its founders, representatives, speakers, mentors, partners or participants does not constitute legal, financial, investment, tax, accounting, medical or other regulated professional advice. Users must independently evaluate information and, where necessary, obtain advice from appropriately qualified professionals. All decisions made as a result of information received through Terra are made solely at the user's own discretion and risk.

Speakers, guests, mentors, participants and partners may express their own opinions. Unless Terra expressly states otherwise, those opinions do not represent Terra. Terra does not independently verify every statement, business case, recommendation, forecast, presentation or representation made by a speaker or participant and does not guarantee its accuracy or completeness.

Terra may, at its discretion:

Terra does not guarantee that any particular event, speaker, participant, opportunity or networking contact will be available. To the maximum extent permitted by law, users are responsible for all personal expenses and arrangements connected with attendance, including travel, accommodation, visas, transportation, insurance and other costs.

Each user is solely responsible for:

Users must independently carry out any due diligence they consider necessary before entering into business or personal relationships with persons met through Terra.

Terra may facilitate introductions and networking but does not guarantee the identity, reputation, solvency, competence, intentions, legality or reliability of any participant, speaker, partner or third party. Any communication, cooperation, investment, transaction or relationship between users is undertaken entirely at their own risk. Terra is not a party to agreements concluded between participants unless expressly stated otherwise in writing.

By expressly registering, subscribing or joining Terra through a mechanism that contains or links to these Terms and the Privacy Policy, the user requests to receive Terra-related communications. This may include registration through: a website, bot, application or registration form, Telegram, WhatsApp, social networks, an offline form, an event registration form, or another Terra registration mechanism.

Subject to applicable law and recorded consent requirements, the user authorises Terra to use contact details provided by the user or otherwise lawfully held for that same user to send: invitations, event announcements, reminders, community news, information about Terra initiatives, information about upcoming Terra events, related informational or promotional communications.

Such communications may be made by email, SMS, WhatsApp, Telegram, telephone, social media, bots or other communication channels permitted by law. The user may request to stop marketing communications at any time.

Users must not:

Terra may restrict or terminate access without prior notice where it considers this reasonably necessary.

Where a user submits photographs, comments, testimonials, presentations, messages or other content for publication through Terra channels, the user confirms that they have the right to provide such content. To the extent necessary for Terra's operation, the user grants Terra a non-exclusive, worldwide, royalty-free licence to store, reproduce, display and distribute that content through Terra channels. The user remains responsible for the legality and accuracy of content they provide.

Terra names, logos, designs, website content, event materials and other Terra-owned materials may not be commercially reproduced or used in a misleading manner without permission. Participation in Terra does not transfer intellectual property rights to users.

Terra may use or link to third-party services including event platforms, social networks, payment systems, maps, messaging platforms and external websites. Terra does not control such third parties. Use of third-party services is subject to their own terms and is at the user's own risk.

Terra does not warrant that any website, bot, channel, community or other service will:

Terra may suspend or discontinue any service without liability to the extent permitted by applicable law.

To the maximum extent permitted by applicable law, Terra services, content, events and communities are provided "as is" and "as available." Terra makes no guarantee regarding: accuracy, completeness, usefulness, availability, commercial success, business results, employment opportunities, investments, introductions, partnerships, revenue, professional development, or achievement of any particular outcome. The user assumes the risks inherent in participation.

To the maximum extent permitted by applicable law, Terra, its shareholders, directors, managers, employees, representatives, volunteers, speakers, mentors, contractors and partners shall not be liable for any loss, damage, lost profit, lost opportunity, business interruption, loss of data, reputational loss, consequential damage or other loss arising from or connected with participation in Terra or reliance on information obtained through Terra.

This includes losses arising from: actions of another participant, reliance on a speaker, business introductions, investment or commercial decisions, cancellation or modification of events, third-party services, loss or theft of property, technical failures, unauthorised access, external websites, circumstances outside Terra's reasonable control.

Where liability cannot legally be excluded, Terra's liability shall be limited to the minimum amount permitted by applicable mandatory law. Nothing in these Terms excludes any liability that applicable law expressly prohibits Terra from excluding.

To the extent permitted by law, the user agrees to indemnify and hold harmless Terra and its representatives from third-party claims, losses, costs or liabilities arising from: the user's unlawful conduct, breach of these Terms, infringement of third-party rights, content supplied by the user, transactions entered into by the user, misuse of Terra services.

Terra shall not be responsible for delay, cancellation or inability to provide an event or service resulting from circumstances outside its reasonable control, including governmental action, venue restrictions, transport disruption, weather, technical failures, communications outages, public emergencies or similar circumstances.

Terra may modify these Terms from time to time. The current version will be published through Terra's website or other appropriate channel. Continued use or participation after an updated version becomes applicable constitutes acceptance to the extent permitted by law.

If any provision is found invalid or unenforceable, the remaining provisions shall continue in effect. Any invalid provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where legally possible.

These Terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Dubai. Unless mandatory law provides otherwise, disputes shall be subject to the jurisdiction of the competent courts of Dubai.
